FCA e PSA si fondono in nuovo gruppo automobilistico In evidenza

Raggiunto l'accordo per la fusione tra il gruppo Fiat e quello Peugeot: d'ora in poi i due conglomerati collaboreranno insieme, sotto l'insegna della mobilità sostenibile e dell'innovazione. 

 

In data 18 dicembre 2019, Fiat Chrysler Automobiles (“FCA") e Peugeot (“Groupe PSA”) hanno firmato un accordo per la fusione paritetica (50/50) delle rispettive aziende, che dovrebbe così formare il 4° costruttore automobilistico al mondo in termini di volumi e il 3° in base al fatturato con l’obiettivo di dar vita ad un gruppo leader nel settore tramite l’affiancamento di team, risorse e competenze.

Affrontando di petto le opportunità presenti in quest’era della mobilità sostenibile, il nuovo Gruppo vuole offrire soluzioni innovative, ecologiche e sostenibili, tanto nei contesti urbani quanto in quelli rurali. Con la possibilità di raggiungere maggiori volumi di produzione ed i benefici derivanti dall’unione delle due società, la nuova società avrà anche l’opportunità di fornire ai propri clienti prodotti, tecnologie e servizi d’eccellenza, seguendo con maggiore facilità la trasformazione in atto nel settore.

Secondo le varie stime effettuate, la fusione dovrebbe generare vendite annuali pari a 8,7 milioni di veicoli, ricavi attorno ai 170 miliardi di euro, un utile operativo corrente da 11 miliardi e un margine operativo del 6,6% secondo l’aggregazione dei risultati del 2018. Unendo i patrimoni, le opportunità per implementare piani strategici ed investire in nuove tecnologie diventano ben più ampie per tutto il ciclo.

Grazie alla forza di FCA in Nord America e in America Latina e alla solidità di PSA in Europa, il nuovo gruppo potrà disporre di una presenza geografica molto più bilanciata, rafforzata dalla possibilità di coprire tutti i principali segmenti del mercato.  Sulla base dei dati congiunti riguardanti il 2018, il nuovo gruppo si aspetta di generare il 46% dei ricavi in Europa e il 43% in Nord America.

I risparmi associati alle tecnologie, ai prodotti e alle piattaforme dovrebbero rappresentare circa il 40% dei 3,7 miliardi di euro di sinergie annuali a regime, mentre quelli relativi agli acquisti dovrebbero assestarsi su un ulteriore 40%. Il 20% rimanente sarà collegato alle aree di marketing e IT, alle spese generali ed amministrative e alla logistica. Attraverso tali sinergie, che dovrebbero generare un flusso di cassa netto positivo già dal primo anno, il nuovo gruppo vuole investire fortemente nelle tecnologie e nei servizi che stanno definendo il futuro della mobilità, concentrandosi in particolar modo sui requisiti normativi globali riguardanti le emissioni di CO2. Le solide attività in ambito ricerca e sviluppo, inoltre, consentiranno di usufruire di una base robusta con cui promuovere e stimolare ulteriormente le innovazioni e lo sviluppo di competenze all’avanguardia.

Il consiglio di amministrazione, formato in maggioranza da indipendenti, sarà composto da 11 membri: cinque saranno nominati da FCA e dal proprio azionista di riferimento (compreso John Elkann quale presidente) e cinque da PSA e dai propri azionisti di riferimento. Carlos Tavares, attuale Presidente del Consiglio di Gestione di Groupe PSA, sarà Chief Executive Officer e membro del consiglio per un mandato iniziale di 5 anni. Il periodo di perfezionamento dell’aggregazione dovrebbe durare tra i 12 e i 15 mesi, tenendo conto delle consuete condizioni di closing.
